Elje / Sell to Australia through Elje

The protection agreement

Every factory signs the same agreement before its first introduction. It sets the 5%, covers repeat orders for 3 years and says what you report. Here it is in plain words.

The main terms

TermWhat it says
IntroductionElje introduces a named buyer to you. The buyer and the date are written in an introduction record that you confirm by email
The fee5% of the value of every order the buyer places with you
Repeat ordersThe 5% also applies to every order from that buyer, or a company the buyer controls, for 3 years from the introduction, however the order reaches you
When you payHalf within 14 days of receiving the deposit, half within 14 days of receiving the balance
ReportingTell Elje about every order from an introduced buyer within 7 days: invoice number, value and payment dates
CheckingElje may check your order records for introduced buyers once a year
No going aroundYou will not offer an introduced buyer a lower price to leave Elje out, and you will not use the buyer's drawings for anyone else
DisclosureThe buyer sees on their quote that you pay Elje 5%. Elje is paid by both sides and says so
Your own buyersBuyers you already knew before the introduction are listed in the agreement and pay nothing. Buyers you bring later can be registered as Elje Direct at 0%
BreachAn unpaid or unreported order pays an agreed amount of damages, and the factory loses its Verified listing and all future introductions

Language and law

The agreement is written in English and Simplified Chinese. The Chinese version is the governing text, under the law of the People's Republic of China, with disputes heard by the court where your factory is. Lawyers who work on China contracts advise this structure because it can be enforced quickly in China and nobody can say they did not understand it.

Why 3 years

A buyer often builds a second house, or a builder sends ten more. Elje found that buyer, priced the job and protected the order. The 3 years pays for that work. It also means neither side gains by going around the other, so we can share drawings and names openly.

Important

This page is a summary. The signed protection agreement is the document that counts, and it is being finalised with our lawyer.

Questions

Is the 5% on the price with or without freight?

On the value of goods on your invoice. Freight, insurance and other charges the buyer pays to other companies are not included.

What currency do I pay in?

The same currency as the order, usually US dollars or Australian dollars, to Elje's bank account. Each payment gets an invoice from Elje.

Can I sign a different agreement?

No. Every factory signs the same terms. That is how the scorecard stays fair.
